1. Agreement to Terms

By accessing or using any services provided by Escape Velocity Partners LLC (doing business as Escape Velocity Ventures), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Services

We provide software products (including but not limited to VibeForge) and consulting services related to product development, AI strategy, and organizational optimization. Services are provided as described on our website and in any applicable service agreements.

3. User Responsibilities

You agree to:

• Provide accurate information when using our services
• Use our services lawfully and in accordance with these terms
• Not misuse, interfere with, or attempt to gain unauthorized access to our systems
• Not use our services to harm others or violate their rights

4. Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and documentation, are owned by Escape Velocity Partners LLC and are protected by copyright, trademark, and other intellectual property laws.

Content you create using our services (such as PRDs generated through VibeForge) belongs to you. We retain no ownership rights to your content.

5. Consulting Services

Consulting engagements are governed by separate service agreements. These terms apply generally, but specific project terms will be outlined in signed Statements of Work (SOWs) or Master Service Agreements (MSAs).

6. Payment Terms

Payment terms for products and services are specified at the time of purchase or engagement. Consulting services are typically billed at a daily rate. All fees are in US dollars unless otherwise specified.

7. Warranties and Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements.

Consulting advice and recommendations are provided based on our professional judgment and experience, but we cannot guarantee specific outcomes or results.

8. Limitation of Liability

To the maximum extent permitted by law, Escape Velocity Partners LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

9. Confidentiality

We respect the confidentiality of information shared during consulting engagements. Specific confidentiality terms will be outlined in service agreements. We do not share client information without permission except as required by law.

10. Termination

We reserve the right to suspend or terminate access to our services at any time for violation of these terms or for any other reason at our discretion. Consulting engagements may be terminated as specified in service agreements.

11. Changes to Terms

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the updated terms. Material changes will be communicated via email or prominent notice on our website.

12. Governing Law

These terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of law provisions. Any disputes will be resolved in the courts of North Carolina.
